Update: Nexa Resources Shares Fall After it Agrees to Become Majority-Owned by Boliden

03:13 PM EDT, 08/27/2026 (MT Newswires) -- (Updates to add share movement in first paragraph and headline) Nexa Resources (NEXA) shares fall 10% in Thursday trading after it said that it will become majority-owned by Boliden after the Swedish mining company agreed to acquire Votorantim's stake in the company, Boliden said Thursday. Boliden will issue 0.250 of its shares for each Nexa share held by Votorantim, resulting in Boliden owning 64.68% of Nexa and Votorantim holding about 7% of Boliden, the company said. The transaction implies consideration of $15.29 per Nexa share and an equity value of about $2.03 billion for Nexa. Additionally, Boliden said it has secured a fully committed $2 billion bridge financing facility to support the transaction. The transaction is expected to close in Q1 2027, subject to shareholder and regulatory approvals. Upon closing, Boliden plans to launch a voluntary tender offer for the remaining shares of certain Nexa subsidiaries listed in Peru, the company said.
